WHEREAS
- The Photographer/Company wishes to photograph, film, or otherwise record the Model; and
- The Model (and, if applicable, the Model’s parent or legal guardian) agrees to permit the use of such images as set forth below.
1. GRANT OF RIGHTS
1.1 The Model hereby grants to the Photographer/Company and its legal representatives, licensees, successors, and assigns, the irrevocable and unrestricted right to use and publish photographs, images, video, or other likenesses of the Model (the "Images") for any lawful purpose, including but not limited to advertising, promotion, marketing, publication, or display, in any media now known or hereafter developed.
1.2 The Model waives any right to inspect or approve the finished Images or any printed or electronic matter that may be used in connection with them.
2. COMPENSATION
2.1 The Model acknowledges receipt of [Description of Compensation, e.g., "no compensation other than the opportunity to participate," or specify payment/consideration] as full consideration for the rights granted herein.
3. RELEASE AND WAIVER
3.1 The Model (and, if applicable, the Model’s parent or guardian) releases, discharges, and agrees to hold harmless the Photographer/Company and its representatives, licensees, successors, and assigns from any claims, demands, or causes of action arising out of or in connection with the use of the Images, including any claims for defamation, invasion of privacy, or violation of any right of publicity.
4. CONFIDENTIALITY AND SENSITIVE USE
4.1 The Photographer/Company agrees not to use the Images in a manner that is defamatory, pornographic, or otherwise unlawful.
5. TERM
5.1 This release is perpetual and worldwide, unless otherwise specified in writing by both parties.
6. GOVERNING LAW
6.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
7. ENTIRE AGREEMENT
7.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.
7.2 Any amendments or modifications must be in writing and signed by both parties.
8. SEVERABILITY
8.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
