Breach of Contract

A violation of a contractual obligation when a party fails to perform their duties as agreed.

A breach occurs when one party doesn't fulfill their contractual obligations without a lawful excuse. Breaches can be material (substantial, allowing the other party to terminate) or minor (partial, requiring the breaching party to fix the issue).

Remedies for breach include compensatory damages, specific performance (court-ordered fulfillment), and contract rescission. The non-breaching party must typically demonstrate actual harm to recover damages.
