MUSIC LICENSING AGREEMENT (SYNC/MASTER)

WHEREAS
- The Licensor is the owner or authorized representative of the musical recording and underlying composition described below;
- The Licensee wishes to obtain a license to use the recording and/or composition in connection with [Description of Project, e.g., a film, advertisement, online video, etc.];
- The Licensor agrees to grant such a license, subject to the terms and conditions set out below.
1. DEFINITIONS
1.1 "Recording" means the sound recording entitled "[Track Title]" performed by "[Artist Name]" and owned or controlled by the Licensor.
1.2 "Composition" means the underlying musical composition embodied in the Recording, written by "[Songwriter(s) Name(s)]".
1.3 "Project" means the audiovisual production titled "[Project Title/Description]".
1.4 "Territory" means [Territory, e.g., "Worldwide", "United States", etc.].
1.5 "Term" means [Term Duration, e.g., "in perpetuity", "1 year from Effective Date", etc.].
2. GRANT OF LICENSE
2.1 The Licensor hereby grants to the Licensee a [exclusive/non-exclusive] license to use the Recording and Composition in synchronization with the Project, subject to the terms of this Agreement.
2.2 The license includes the right to reproduce, distribute, publicly perform, and communicate the Recording and Composition as part of the Project in the Territory during the Term, solely for the following uses:

2.3 No rights are granted to use the Recording or Composition separately from the Project.
3. LICENSE FEE AND PAYMENT

5. WARRANTIES AND REPRESENTATIONS
5.1 The Licensor warrants that they have the right and authority to grant the license herein and that the Recording and Composition do not infringe on any third-party rights.
5.2 The Licensee warrants that the Project will not be used for unlawful, defamatory, or obscene purposes.
6. LIMITATION OF LIABILITY
6.1 Except for breach of warranties set forth above, neither party shall be liable to the other for any indirect, incidental, or consequential damages arising out of this Agreement.
7. TERM AND TERMINATION
7.1 This Agreement shall commence on the Effective Date and continue for the Term unless terminated earlier in accordance with this section.
7.2 Either party may terminate this Agreement upon [Notice Period Days] days’ written notice if the other party breaches any material term and fails to cure such breach within [Cure Period Days] days of notice.
7.3 Upon termination, the Licensee shall cease all use of the Recording and Composition except as permitted under any surviving rights.
8. GOVERNING LAW
8.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].

9. MISCELLANEOUS
